This Service Provider Agreement (“Agreement”) governs the terms and conditions under which you (“Service Provider”, “you”, “your”) may access and use the Tilt It mobile application, website, content, products, and services (collectively referred to as the “Platform”), provided by Tilt It Portal, holder of Trader License no. 897617 issued by the Department of Economy and Tourism-Dubai, with its registered office in Dubai, UAE (“Tilt It”, “we”, “us”, or “our”). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree with all the terms and conditions of this Agreement, you may not use the Platform.

1. Service Provider Eligibility

By using the Platform as a Service Provider, you represent and warrant that you have the legal capacity to enter into this Agreement and provide moving or towing services as an independent contractor. You further represent and warrant that you possess all necessary licenses, permits, and qualifications required by the laws of the United Arab Emirates.

2. Registration and Approval

2.1 In order to become a Service Provider on the Platform, you must register for an account and undergo a screening process conducted by Tilt It. This process may include providing personal information, documentation related to your business, and undergoing background checks.

2.2 Tilt It reserves the right to approve or reject Service Provider applications at its sole discretion.

3. Service Provider Obligations

3.1 As a Service Provider, you agree to provide moving or towing services to Users in a professional and efficient manner. You are responsible for ensuring the safety and security of the goods or vehicles being transported.

3.2 You agree to comply with all applicable laws and regulations while using the Platform and providing services to Users. This includes, but is not limited to, adhering to traffic laws, maintaining proper licenses and permits, and carrying adequate insurance coverage.

4. Payments

4.1 You will receive payment for services provided to Users through the Platform. Payment amounts may vary based on factors such as distance, time, and additional services provided.

4.2 Tilt It will facilitate the processing of payments on your behalf. You authorize Tilt It to deduct any applicable fees or charges from your earnings, including platform service fees.

4.3 You agree to provide accurate and up-to-date banking information for payment processing purposes.

5. Ratings and Feedback

5.1 Users may provide ratings and feedback based on their experience with you as a Service Provider. You acknowledge and agree that such ratings and feedback may affect your ability to receive future service requests through the Platform.

5.2 Tilt It reserves the right to suspend or terminate your access to the Platform based on poor ratings or feedback from Users.

6. Intellectual Property

6.1 All intellectual property rights in the Platform, including but not limited to copyrights, trademarks, and patents, are owned by or licensed to Tilt It. You are granted a limited, non-exclusive, non-transferable license to use the Platform for the purpose of providing services to Users.

6.2 You agree not to modify, adapt, reproduce, distribute, or create derivative works based on the Platform or any content therein without the prior written consent of Tilt It.

7. Privacy

7.1 Tilt It collects and processes personal data in accordance with its Privacy Policy. By using the Platform, you consent to such collection and processing.

7.2 You agree not to disclose any personal information of Users obtained through the Platform without their consent.

8. Termination

Tilt It reserves the right to suspend or terminate your access to the Platform at any time for any reason, without notice. Upon termination, all rights and obligations under this Agreement shall cease, except those that by their nature should survive termination.

9. Disclaimers

9.1 The Platform is provided on an “as-is” and “as-available” basis, without any warranties of any kind, express or implied. Tilt It makes no representations or warranties regarding the accuracy, reliability, or completeness of any information provided through the Platform.

9.2 Tilt It disclaims all liability for any loss, damage, or injury arising out of or related to your use of the Platform or any services provided to Users. Tilt It shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, arising from or in connection with this Agreement or the use of the Platform.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

11. Changes to this Agreement

Tilt It reserves the right to modify or amend this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Agreement.

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be severed from the Agreement, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Tilt It regarding the subject matter herein and supersedes all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between the parties regarding such subject matter.
