1. Introduction

This User Agreement (“Agreement”) constitutes a legally binding contract between you (“User”) and Tilt It Portal, holder of Trader License no. 897617 issued by the Department of Economy and Tourism-Dubai, having its registered office in Dubai, UAE (“Company”), governing your access to and use of the Tilt It mobile application (“App”) and website (“Website”), including applications, websites, content, products, and services (“Services”). By downloading, installing, accessing, or utilizing the App or Website, you agree to comply with and be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms, you must not access or use the App, Website, or Services.

2. Services

The Company provides a digital platform facilitating the connection between Users and independent third-party service providers (“Service Providers”) who offer moving and towing services. The Company does not provide moving or towing services itself and acts solely as an intermediary. The Company is not responsible for the actions or omissions of any Service Providers.

3. Eligibility

By using the App, Website, and Services, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into this Agreement. If you do not meet these eligibility requirements, you are prohibited from accessing or using the App, Website, and Services.

4. User Account

To utilize the Services, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify the Company of any unauthorized use of your account or any other security breach.

5. Payment Terms

Users are required to provide valid payment information to request Services from Service Providers. By submitting payment information, you authorize the Company to charge all applicable fees for Services rendered through the App and Website. All payments processed through the App and Website are final and non-refundable, except as otherwise required by law or expressly stated in this Agreement.

6. Use of the App and Website

You agree to use the App, Website, and Services strictly in accordance with all applicable laws, regulations, and guidelines. You agree not to use the App or Website for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the App or Website or interfere with any other party’s use and enjoyment of the App or Website.

7. User Conduct

You agree not to engage in any of the following prohibited activities:

• Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Harassing, abusing, or harming another person, including but not limited to Service Providers.
• Interfering with or disrupting the App, Website, or Services, or any servers or networks connected to the App or Website.
• Engaging in any activity that could damage, disable, overburden, or impair the App or Website or interfere with any other party’s use and enjoyment of the App or Website.

8. Ratings and Reviews

Users may submit ratings and reviews for Service Providers following the completion of Services. All ratings and reviews must be accurate, fair, and respectful. The Company reserves the right to remove any ratings or reviews that it deems to be inappropriate, offensive, or false.

9. Termination

The Company reserves the right to suspend or terminate your account and access to the App, Website, and Services at any time, with or without notice, for any reason, including but not limited to a violation of this Agreement. Upon termination, all rights and licenses granted to you in this Agreement will immediately cease.

10. Disclaimers

The App, Website, and Services are provided on an “as is” and “as available” basis. The Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the App or Website will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App or Website; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the App or Website; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App or Website by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App or Website.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, expenses, and costs (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the App, Website, and Services; (b) your violation of this Agreement; (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (d) any dispute or issue between you and any third party.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement, the App, Website, or the Services shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC). The arbitration shall be conducted in Dubai, United Arab Emirates, and the parties hereby waive any objections to such jurisdiction and venue.

14. Changes to the Agreement

The Company reserves the right to modify this Agreement at any time. Any changes will become effective immediately upon posting the revised Agreement in the App and Website. Your continued use of the App and Website after the posting of any changes constitutes your acceptance of such changes.

15. Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The failure of the Company to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. This Agreement constitutes the entire agreement between you and the Company with respect to the App, Website, and Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and the Company.
